ValueScripts Program Terms & Conditions

1. ValueScripts Program Overview

The ValueScripts Program (the “Program”) is a retail pharmacy savings program administered by Rexall Pharmacy Group ULC (the “Administrator”), under the terms and conditions contained herein (the “Terms”).

2. Who is eligible to participate in the Program?

The Program is offered to individuals whose employers, trade associations or plan sponsors have partnered with the Administrator to provide uninsured individuals with access to a retail pharmacy savings program (“Primary Account Holder”, “you” or “your”). You can obtain an Access Code from your employer, association, or plan administrator (collectively and individually referred to as the “Plan Administrator”) which can be used to enroll in the Program. Individuals who are subject to or participate in a public or private health benefits plan are not eligible for Program membership.

3. Enrollment in Program

STEP #1: Visit the ValueScripts.ca website (“Program Website”) and enroll for a membership by entering the Access Code provided by the Plan Administrator and other information to and create a Program account (“Account”) to become a Program member (“Member” refers to each individual enrolled in the Program including the Primary Account Holder).

STEP#2: Once an Account is created, you must choose the type of membership you wish to purchase, being either: (a) Single Membership ($9.99 + plus applicable taxes) or (b) the Family Membership ($19.99 + applicable taxes). The Single Membership is for one (1) individual and the Family Membership can include up to five (5) individuals (including pets!) with the same household address.

Step #3: Enter payment information for your selected membership and submit your payment. A digital membership card, displaying the Primary Account Holder’s name, Plan Administrator’s group number and barcode (“Card”) will become available for to download or print. For a Family Membership, the Card will also display the name of each individual registered under the Family Membership.

4. Description of Program Savings

As a Program Member, you will only be entitled to receive the following:

  • Savings on prescription medication costs
  • 20% off the regular price of Rexall’s private label brand products (specifically REXALL®, BE BETTER™, KIT™, NOSH & CO.™, ROSE & ROBIN™, and SAVVY HOME™ branded products).

5. How to Use Card

Present the Card at the point of purchase to receive Program savings. Under the Family Membership, Program savings will only be applied if the full name of the individual presenting the Card appears on the Card.

6. Where can the Card be used?

The Card is only valid at participating Rexall locations in Ontario and British Columbia (“Participating Locations”).

7. How does this Program differ from a Medical Insurance Policy?

The Program is not a medical insurance policy. The Program does not provide Members with reimbursement for prescription drug purchases.

8. Payment Terms

Only credit cards, prepaid credit cards or debit cards are accepted as payment for Program enrollment. Cash payments not accepted. Payment of the Program fees are non-refundable and you shall be responsible for any Program fees up to and until your current membership expires. The Card has no cash value. Full payment must be processed to participate in the Program. All Program fees are quoted in Canadian dollars exclusive of applicable taxes. The amount of Program fees that you actually pay may be affected if the Plan Administrator has arranged with the Administrator to pay the Program fees or a portion of the Program fees. Such arrangement may be time limited and the Administrator reserves the right to modify or implement a new pricing structure at any time before billing you or the Plan Administrator for future Program fees pursuant to these Terms.

If you choose to have your membership automatically renewed, a valid and current payment method (i.e. credit card or debit card) must be stored on your Account and it is your responsibility to ensure such payment method is current and valid. By choosing the automatic renewal option, you hereby authorize the Administrator to charge any Program fees that become due and payable to the payment method provided on your Account.

9. Membership Renewal Terms & Changes to Selected Membership Plan

Only the Primary Account Holder can renew membership for each Member on the Primary Account Holder’s Account. The membership does not automatically renew at the end of one year, unless the Primary Account Holder has chosen auto-renewal and a valid payment method at the time of renewal is stored on the Account. The Primary Account Holder must pay the annual membership fee in full to renew membership in the Program for an additional year. A new Card must be downloaded or printed annually when membership is renewed.

Changes to your selected membership can only be made by the Primary Account Holder on the Program Website. The Primary Account Holder can change their selected membership from a Family Membership to a Single Membership only within the thirty (30) days prior to the expiry of the term of the current membership. The Primary Account Holder can change their selected membership from a Single Membership to a Family Membership at any time upon paying the Family Membership fee in full ($19.99 plus applicable taxes). This change will be effective on the date payment for this change is completed and it will be valid for one (1) year.

10. Promotional Codes

From time to time the Administrator may issue promotional codes that can be applied against the Member’s annual subscription or the Member’s purchases at Participating Locations (“Promotions”). Promotions are time limited and will have separate terms and conditions that apply to such promotion. Members should consult the Administrator or their Plan Administrators for further details on any Promotion and review the Promotion’s posted terms and conditions.

11. Limitations, Exclusions & Exceptions:

Only individuals who are NOT subject to or participating in a public or private health benefits plan are eligible for Program membership. The Program’s savings apply only to products or services for which the Member is liable to pay. The Card and/or the Program’s savings cannot be used in combination with any public or private insurance plan that offers pharmaceutical drug coverage.

Primary Account Holder must be 18 or older to register for membership. The Card is non-transferable.

Digital Card and self-print card options available only. The digital Card must have compatible Android or Apple device, as well as a digital wallet to carry the Card. Digital Card can be downloaded from the Program Website if the Card is deleted or misplaced.

Program discount cannot be applied on purchases made prior to the Member’s enrollment date.

Prescription medications involving compounding and pharmacy services (including point of care testing, vaccinations services, etc.) are excluded from the Program. The following is excluded from the Private Label Brand discount: sale items, prescription products, products containing codeine or insulin, Rexall Gift Cards, Gift Card Express, lottery, postal services and stamps, transit tickets, baby diapers, baby formula, adult meal supplements, prepaid phone cards, photo finishing, tobacco products, professional and prescription services, and taxes.

12. Privacy

The Program’s privacy policy (the “Privacy Policy”) is available on the Program Website. This Privacy Policy may be amended from time to time. By agreeing to these Terms, you are also agreeing to the terms of the Privacy Policy and you undertake to review those terms, as such may be amended from time to time.

13. Termination of Membership and Cancellation of the Program

The Administrator may, at any time, suspend or terminate an Account or a membership in the Program, if, in its view, a Primary Account Holder or Member has abused any Program privilege, failed to follow these Terms, or made any misrepresentation to the Administrator or to any entity associated with or participating in the Program. The Administrator may also terminate a membership or Account if any of the following events occur: (a) the Member dies, (b) the Member becomes bankrupt or insolvent or any bankruptcy or insolvency proceedings are commenced by or against the Member, (c) the Member is charged with a “designated offence” (as defined in the Criminal Code (Canada)), or (d) the Administrator suspects the Member of any fraudulent activity in connection with the Program, including unauthorized distribution of the Access Code.

The Primary Account Holder can choose to cancel its Program membership or the membership of any Member associated with its Account at any time by sending written notice to the address below or by contacting the customer support team (see Section 15 for further details).

Termination or cancellation of membership in the Program will result in the immediate closing of the Account and/or refusal of Program benefits for all Members associated with the Primary Account Holder’s Account, without any compensation or other liability to the Member.

14. General

By participating in any aspect of the Program, you (and your parent or legal guardian on your behalf, as the case may be) agree to be bound by these Terms. These Terms may be amended at any time without notice. The version of the Terms that is posted from time to time on the Program Website will govern the Program.

We reserve the right to refuse to allow you to join the Program for any reason in our sole discretion, including for not meeting the eligibility requirements or for having a Program membership cancelled previously.

The Card is not a credit card. The Card is the property of the Administrator and it may be revoked at any time by the Administrator in the event of a breach of these Terms, misuse or abuse of the Program by a Member, fraud, and/or any other actions deemed by the Administrator to be contrary to the Program or the interests of its Members in its sole discretion. Any unauthorized reproduction of any Card is prohibited and may result in legal prosecution and forfeiture of membership in the Program.

Members cannot share their Access Code, Account information or Plan Administrator’s group number with anyone else. You are responsible for protecting and keeping secure your Account, the Cards and memberships on your Account, and any password used in connection with your Account and Cards. If you have reason to believe that your Account is no longer secure (for example, following a loss, theft or unauthorized disclosure or use of your Card or Account information) you must promptly notify the Administrator by contacting our customer support team (see section 15 for further details). The Administrator will not be responsible for the unauthorized use of your Card or Account information by any other person and disclaim any liability that may be associated with such use.

If any of the information you were required to submit when you registered for the Program changes (such as your name, mailing address, email address or phone number), you must advise us immediately by visiting the Program Website or by contacting our customer support team (see Section 15 for further details). We shall not be liable for misdirected email or mail communications, including any notices under these Terms, the Privacy Policy or any consequences thereof where the information you provided to us is inaccurate or no longer valid. If we believe that some of our records are inaccurate, we may contact you to verify our records. We reserve the right to cancel any Account for which we have incomplete or inaccurate information.

Except as specifically outlined herein, these Terms represent the only agreement between the Member and the Administrator in connection with the Program and supersede all prior agreements, understandings, negotiations and discussions, whether oral or written. There are no representations, warranties, covenants, conditions or other agreements, express or implied, collateral, statutory or otherwise, including implied warranties or conditions of merchantability or fitness for a particular purpose, between a Member and the Administrator in connection with the Program, except as specifically set forth in these Terms. The Administrator makes no representations or warranties regarding the safety, effectiveness and viability of any of the products offered or purchased through participation in the Program.

To the extent permitted by law, by participating in the Program, you (and any additional person you represent as the Primary Account Holder, your parent or legal guardian on your behalf, as the case may be) agree to release and discharge the Administrator, its subsidiaries, and its parent company, and any other third-party that may from time to time participate in the Program (whether as a participant or in an administrative, operational or other capacity), and its, and each of their respective, officers, directors, agents, representatives, successors and assigns, from any loss, liability, claim, demand, damage or expense asserted by any person or entity relating in any way to the Program, your participation in the Program or the use/misuse of any product obtained from the Administrator or otherwise in connection with the Program.

The Administrator will not be liable or responsible in any manner for any tax consequences or any charge imposed by or with the authority of any government, which may flow from any participation in the Program.

The Administrator reserves the right to withdraw or temporarily change or suspend all or part of the Program in any way, in the event of a material error, omission, technical problem, computer virus or bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond our reasonable control that interferes with the proper conduct of any aspect of the Program as set out in these Terms. Any attempt to deliberately damage any website or to undermine the legitimate operation of the Program in any way (as we may determine in our sole discretion) could be a violation of criminal or civil laws and, should such an attempt be made, we reserve the right to seek remedies and damages to the fullest extent permitted by law.

The Administrator’s failure to exercise any of its rights, powers or remedies in these Terms or at law, or any delay in doing so, does not constitute a waiver of those rights, powers or remedies. The single or partial exercise of a right, power or remedy does not prevent its subsequent exercise or the exercise of any other right, power or remedy.

Words in the singular form shall be construed to include the plural and vice versa, unless the context otherwise requires, and the word “including” means “including but not limited to”. Any dollar amounts referenced in connection with the Program or these Terms are referenced in Canadian dollars.

Each of the provisions contained in these Terms is distinct and severable and a declaration of invalidity or unenforceability of any such provision or part thereof by a court of competent jurisdiction will not affect the validity or enforceability of any other provision of these Terms.

These Terms are governed by the laws of the province of Ontario and the federal laws of Canada applicable therein, without reference to conflict of laws provisions.
